Invoicing Terms
Version 2026-10-18 · In effect from October 18, 2026

01 Purpose, parties and precedence
These Invoicing Terms govern the use of CORD to issue quotes, invoices and other documents for the Customer’s sales. “Flouvia”, “Customer”, “CORD” and other defined terms have the meaning given to them in the CORD Terms and Conditions (the “Terms”).
The Customer is the issuer of its documents and the party bound before its tax authority. CORD is its invoicing tool: Flouvia does not provide tax advice or guarantee that a document meets all of the Customer’s obligations. When Flouvia transmits a document to an authority, it does so on the Customer’s instruction, in its name and with the credentials the Customer uploads.
These Invoicing Terms form part of the Terms. In case of conflict, these Invoicing Terms prevail on invoicing; the Payment Terms on payments and fees; the Data Processing Agreement on data processing; and the Terms on everything else. Governing law and jurisdiction are those in section 16 of the Terms.
02 Data, taxes and credentials
The Customer shall provide true and complete issuer and recipient data, line items, quantities, prices, currency, regime and tax identifiers, and shall review the rates, exemptions, withholdings, product codes and units of each document. CORD’s default values are not tax advice.
Tax travels with each line item and is frozen in the document. The document discount is applied before tax and allocated across the line items. When a document requires an exchange rate, Cord uses the day’s rate with its source; if it cannot obtain it, it does not issue.
By uploading a certificate, key, folio file or access password for its authority, the Customer represents that they belong to it or that the person uploading them is authorized to use them on its behalf, and authorizes Flouvia to use them only to sign and transmit that organization’s documents, check their status and, in Chile, answer its suppliers. Flouvia stores them encrypted and never returns them to the browser. The Customer shall revoke them with its authority if they are compromised.
The Customer defines its coupons and is responsible for its promotions complying with applicable law. An exhausted coupon prevents issuing the document that uses it.

Stamping. Cord stamps CFDI 4.0 through an authorized certification provider. It declares VAT per line item (16%, 8% or exempt), VAT and income-tax withholdings and the discount, and rejects before stamping a document whose breakdown does not reconcile or that requires taxes it does not yet represent. If a line has no SAT product or unit code, the generic codes are used and the editor warns about it.
Documents without tax validity. If stamping is not available, Cord may generate a test document. That document carries the legend “SIN VALIDEZ FISCAL” (no tax validity) on every page of the PDF, on the public link and in the app, and the Customer shall not deliver it as an invoice.
Foreign trade. Cord does not generate the foreign trade complement. Before stamping an income CFDI to a recipient abroad with goods line items, Cord stops the issuance and asks the Customer to confirm that it is not a definitive export of goods. If it is, the Customer must issue that document by other means.
Cancellation and substitution. Requesting the cancellation of a CFDI does not cancel it: the SAT gives the final status and the recipient’s acceptance may be required. Cord records each status (accepted, pending, under verification, rejected or expired). A CFDI can only be cancelled until the month in which the annual return for the fiscal year in which it was issued is due (article 29-A of the Federal Tax Code); after that, Cord does not send the request and corrects it with a credit note. To substitute a CFDI, Cord first stamps the replacement related to the original, moves the payments and coupon to it, and then requests cancellation of the original with reason 01 and the replacement’s tax folio.
Payment complement. Cord issues the payment complement for each payment recorded against a CFDI with an installment or deferred payment method, once per payment. The complement must be issued by the 5th day of the month following the payment. If it is not issued (because of an error, the plan quota or a different currency), Cord creates a task for the Customer with that deadline, which closes when the complement is issued.
Global invoice. Cord issues the global invoice to the general public and corrects it by cancelling it, with reason 04 when a customer requests its own invoice.
04 Spain
Verifactu. An invoice from a Spanish issuer is only issued through Cord as a Verifactu record: with its chained hash, the verification QR code and its submission to the AEAT. Cord submits in batches every hour and after issuing or voiding, observing the waiting time the AEAT sets. Generating a record does not prove that the AEAT received it: each record’s status shows the authority’s response. Records are never modified or deleted: a correction is a new correction or voiding record, and while records exist the organization cannot be deleted.
Flouvia, as the system’s producer, signed the responsible declaration required by Royal Decree 1007/2023, published at cordhq.app/verifactu/declaracion-responsable. There is no AEAT approval for these systems and Cord does not claim one.
Proforma invoice. Until the Customer turns on Verifactu with its certificate, Cord does not issue invoices for a Spanish issuer: the document is issued as a proforma invoice, with the legend “FACTURA PROFORMA — NO ES UNA FACTURA” (proforma invoice, not an invoice) on the PDF, the public link, the email and the API. The Customer shall not present it as an invoice.
Business-to-business e-invoicing. Mandatory business-to-business e-invoicing (Law 18/2022 and Royal Decree 238/2026 of March 25, published in the Official State Gazette (BOE) on March 31, 2026, BOE-A-2026-7295) will be transmitted through the AEAT’s public solution. Cord sends nothing through that channel until the AEAT publishes its service. If the Customer expressly authorizes it on the platform, through a versioned text that states what Cord signs, with which certificate and for what purpose, and that the Customer may revoke at any time, Cord signs its Facturae on its behalf with the certificate it uploaded for Verifactu. Without that authorization in force, in its current version, for the stored certificate and with the same legal name and NIF, Cord does not sign; leaving Spain revokes it.
05 Latin America
In Argentina, Brazil and Chile, when the rail is enabled and the Customer has uploaded its credentials, Cord acts as its invoicing system and transmits directly to the authority. A document has tax validity only once the authority authorizes it. A submission without a response is queried and never blindly resent. An authorized document is not edited: it is voided only where the authority allows it and, otherwise, corrected with a credit note. Each rail rejects before sending what it does not yet cover and says so on screen.
In Chile, the Customer completes the certification of its system with the SII using the test set Cord prepares. If the Customer uses the reception of its suppliers’ documents, Cord automatically sends the acknowledgment of receipt and, when the Customer decides, sends the acceptance or claim signed with its certificate and records it with the SII. The Customer shall decide within the legal deadline; the decision cannot be changed later and Cord does not make it on the Customer’s behalf.
In Peru and Colombia, Cord does not transmit documents to the authority until it holds the registration as an electronic service provider with SUNAT or the authorization the DIAN requires. Until then, the document it generates is a commercial one.
06 The European Union, the United States and other countries
France. Issuing invoices through a platform approved by the French tax administration is not yet available in CORD. Cord does not transmit invoices to any platform or report sales or payments to the French tax administration, and the document it generates for an issuer established in France is a commercial one. The Customer shall meet by other means the e-invoicing and reporting obligations the law imposes on it. From September 2026 every business established in France must be able to receive e-invoices; Cord does not provide that service, and the Customer shall have its own reception platform. When Flouvia enables issuance in France, it will announce it with a new version of these Invoicing Terms under section 17 of the Terms.
European Union. In the European Union, including France, Cord generates Factur-X, XRechnung or Peppol when the invoice allows it and, depending on the Customer’s choice, attaches them to the email; it does not transmit them over any network.
United States. If the Customer turns on sales tax calculation by its customer’s address, each line’s tax comes from the states where the Customer declares it collects. The Customer collects and files with each state; Cord does not handle registrations or file returns. If data is missing or the calculation is unavailable, the document is not saved.
Other countries. Outside the rails in these sections, the document is a commercial one and is not transmitted to any authority.
07 Retention, download and errors
The Customer shall keep its invoices, XML and acknowledgments for the period its tax law requires. Cord keeps them while the organization exists, and the Customer can download all of them, with their XML and acknowledgments, from Settings. When the Customer requests deletion of the organization, it has a 30-day grace period to download them; they are then deleted, except Verifactu records. Deleting the organization does not cancel issued documents or erase what the authority or the certification provider keeps.
In case of a discrepancy or an uncertain response from an authority, the Customer will check the document’s status before issuing again or correcting it. Flouvia corrects CORD failures attributable to it under the Terms.
08 Final provisions
Issuing an invoice does not enable a payment method or guarantee payment; payments are governed by the Payment Terms. Cord does not calculate or charge automatic late interest. These Invoicing Terms do not replace the Customer’s tax obligations or the mandatory rules of its country. Amendments follow section 17 of the Terms.
