Terms and
Conditions
Last updated: October 18, 2026
In these Terms, “Flouvia” means Andre Valle Ortega, an individual who operates CORD (cordhq.app) under the trade name Flouvia, or the company to which this agreement is assigned under section 17. “Customer” or “User” means the person or business that contracts CORD. The Customer represents that it contracts CORD for the activity of its business or profession and not as a final consumer.
The Payment Terms, the Invoicing Terms and the Data Processing Agreement form part of these Terms. In case of conflict, the Payment Terms prevail on payments and fees; the Invoicing Terms on invoicing; the Data Processing Agreement on data processing; and these Terms on everything else.
Acceptance is recorded through the affirmative action shown at registration or re-acceptance, against the document version and language; creating an account or continued use does not replace it. A person acting for a business must have authority to do so; a personal acceptance record does not by itself establish that authority. Acknowledging the privacy notice is separate from optional analytics consent and from payment-specific approvals.
If you do not agree with these terms, you must not use our services or access our APIs.
01 Software Description
CORD is a technological platform designed for quote generation, payment and collection management, and issuance of invoices. Depending on the business’s country and the enabled rails, the invoice may be a CFDI 4.0 stamped in Mexico, a document Cord transmits to the tax authority or platform of the issuer’s country (Verifactu in Spain; ARCA in Argentina; NFS-e and NF-e in Brazil; SUNAT in Peru; SII in Chile; DIAN in Colombia), or CORD’s own commercial invoice, which is not transmitted to any authority. Flouvia provides the cloud tool, but the User is solely responsible for the accuracy of the data entered, the amounts quoted, and the invoices issued.
02 Intellectual Property and Feedback
Flouvia grants you a limited, non-exclusive, non-transferable license to use the CORD software. All code, design, interface (UI/UX), and algorithms belong to us. However, you retain 100% intellectual property over your catalogs, price lists, logos, and client information. We claim no rights over your business information.
Feedback: If you provide us with suggestions, comments, or ideas to improve the platform ("Feedback"), you grant us a worldwide, perpetual, irrevocable, and royalty-free license to implement, modify, and exploit such improvements without obligation of compensation or recognition.
03 Billing Plans and Overages
The plan distinguishes enabled features, resource limits and monthly usage allowances. Reaching a hard limit prevents creating resources or performing the relevant operation; it does not automatically enable paid overage. Some features require a particular plan and evidence of a current subscription.
Free does not allow billable overage. On plans that do, only eligible dimensions generate additional usage beyond the included allowance. Starter retains a maximum of one seat; from Pro, additional billable seats may be available under the plan. Limited Free sends do not turn into overage charges.
Even when a dimension permits overage, safety limits and abuse controls apply. An operation may be blocked when a relevant ceiling is reached or authorization or quota cannot be verified. Unlimited continuity or freedom from plan-limit blocks is not promised.
Applicable amounts, currency, cycle and billable usage are shown when subscribing and in billing interfaces. Usage is reserved before external operations; failed reservations are canceled and eligible overage is reported to the subscription processor. This description does not authorize items outside the contracted plan.
04 Payment Terms and Debit Authorization
Cord does not calculate or charge automatic late interest in any country. A Customer’s credit period or installment arrangement does not mean Cord calculates or charges interest. Optional collections may send email on the creditor’s behalf with creditor identification and a reply channel; it does not guarantee recovery, AI wording accuracy or prior human review of every message.
To use our paid plans, you must provide a valid payment method. By doing so, you expressly authorize us and our exclusive payment processor (Stripe, Inc.) to make automatic and recurring charges to your card or bank account for your subscription amount and any generated overages.
Additionally, by processing payments through CORD, you agree to be bound by the Stripe Services Agreement. If automatic billing fails, we reserve the right to temporarily suspend access to your account until payment is regularized.
Payments from your Clients
Cord Payments, payment collection with Mercado Pago, the customer portal, automatic payments, direct debit, bank transfers with a reference, deposits and installment plans are governed by the Payment Terms. Cord Payments is a software feature: payment services are provided by Stripe, and Flouvia does not receive or hold the funds of the Customer’s buyers. Recording a deposit, a partial payment or a payment term does not mean Cord finances or acquires the credit.
Discounts and Coupons
The Customer sets the value, currency, validity and usage limits of its coupons, and is responsible for ensuring its promotions comply with applicable consumer-protection and advertising law. Cord applies the discount before taxes, reflects it in the tax document and records each use by customer and document; an exhausted coupon prevents issuing or approving the document that uses it.
Autonomous AI Collections
CORD offers an optional AI collections agent that, once you enable it for your business, may contact your clients on your behalf (via email) about overdue balances, include payment links, and propose installment plans. By enabling this feature you authorize CORD to send these communications in your name and confirm you have a legitimate commercial relationship and a lawful basis to contact those clients. You are responsible for the accuracy of the receivables data and for ensuring these communications comply with applicable consumer-protection, data-protection, and debt-collection laws. The agent uses artificial intelligence and its wording may vary; each email it drafts states that it was written with the help of artificial intelligence on the Customer’s behalf. This does not exclude Cord’s own obligations or liability that applicable law does not allow it to exclude. A proposed installment plan is activated only if the debtor accepts it; Cord sends at most two messages per debtor in seven days, and the debtor can ask through a link not to be contacted again. This feature is also governed by the Collections Notice. You may disable autonomous collections at any time.
05 Prohibited and Restricted Activities
CORD is a platform for lawful commerce. As an infrastructure that issues invoices — including transmitting invoices to tax authorities and approved platforms in countries where the rail is enabled — it is strictly prohibited to use our software for:
- Simulating operations, tax evasion, or issuing invoices covering non-existent operations (companies classified as EFOS/EDOS by tax authorities).
- Money laundering, terrorist financing, or any activity that violates applicable federal or international laws.
- Selling illegal, unauthorized regulated goods or services, or those prohibited under Stripe's Acceptable Use Policy.
Flouvia may limit, suspend or terminate an account that engages in these practices under the Acceptable Use Policy, which sets out how notice is given, when action may be taken without prior notice for urgency, security, fraud or legal obligation, and how to appeal. Anyone can report unlawful content or a use of CORD contrary to that Policy through the channel set out in its section 8. Suspension does not by itself mean the loss of payments or refunds, which are governed by these Terms and applicable law. Flouvia shares information with authorities or financial partners when there is a legal obligation, a valid request or a legitimate and proportionate need.
06 Fair Use Policy
Use of CORD is subject to each plan’s limits and to the reasonable use rules of the Acceptable Use Policy.
07 Third-Party Apps and Integrations
The Service lets you connect third-party accounts not owned or controlled by Flouvia, such as Google (Gmail, Sheets), Microsoft (Excel, Teams), Shopify, QuickBooks Online, Xero, HubSpot, Slack, WhatsApp Business, Mercado Pago, Zapier, Make or n8n. Each integration is enabled separately and only under the Customer’s instruction.
Authorization and third-party terms. By connecting an account, you represent that you are authorized to do so on behalf of the business and that you have a lawful basis for your customers’ data to be exchanged with that third party. Your use of each third party is governed by that third party’s terms and policies, which you agree to follow. Cord does not receive the password of those accounts and stores their technical credentials encrypted.
What Cord writes to your accounts. Depending on the integration, Cord writes to the connected account under your instruction: rows in a spreadsheet, invoices and customers in your accounting, orders in your store, messages in your channels and emails sent from your account. You are responsible for reviewing those writes and their effects, including accounting entries, taxes, inventory and fulfillment. Cord does not convert amounts between currencies for an integration: if the third-party account does not accept the document’s currency, the operation is not performed and Cord reports it.
Email sent from your account. If you connect your email so Cord sends documents from it, those emails are sent in the Customer’s name; the Customer is their sender and is responsible for their content, recipients and compliance with the laws on commercial communications and data protection. If the email provider rejects a send, Cord may deliver it through its own email channel so the document is not lost.
AI proposals. Proposals generated by AI, such as quote lines drawn from an email, are suggestions you must review before sending them to your customers. An email’s text is processed only when you invoke that feature.
Availability and changes. Third parties may change their services, limit their use, revoke access or suspend applications, and Cord may modify, pause or retire an integration. An integration is not part of any availability commitment. You may disconnect it at any time: Cord stops syncing and deletes or revokes the credentials, and data already delivered to the third party remains in that account under your control.
Responsibility. Flouvia does not endorse those third parties and is not liable for their failures, vulnerabilities, data loss or acts, or for decisions you make based on what an integration records. This does not exclude Cord’s own obligations regarding its platform or liabilities that applicable law does not allow to be excluded.
08 Tax and Legal Responsibility
Cord provides invoicing technology, not accounting advice or a general guarantee of tax compliance in every country. The Customer must verify the data, taxes and requirements applicable to its transactions. This responsibility does not remove Cord’s own duties or liability that cannot lawfully be excluded.
In Mexico, CFDI stamping depends on tax data, issuer credentials and the configured provider’s availability. Requesting a cancellation does not complete it: the final status comes from the SAT and may require the recipient’s acceptance. To replace a CFDI, Cord first issues the replacement and then requests cancellation of the original, linking the two. Outside an enabled fiscal rail, the document is commercial and does not establish receipt by an authority.
In Spain, generating a commercial document, generating a chained record, submitting it to AEAT and obtaining a response are distinct states. Commercial mode does not submit records. When Verifactu mode is enabled, generation requires issuer information and system identity; missing prerequisites may block issuance rather than automatically become a successful submission.
Uploading a certificate does not establish submission or acceptance by AEAT: submission is checked against the record status and the authority’s response. Cord submits in batches every hour and after issuing or voiding, observing the waiting time the AEAT sets, and does not establish immediate remittance. Flouvia, as the system’s producer, signed the responsible declaration required by Royal Decree 1007/2023, published at cordhq.app/verifactu/declaracion-responsable. No AEAT-issued approval is claimed. Mandatory business-to-business e-invoicing through the AEAT’s public solution is not available yet: Cord sends nothing through that channel until the AEAT publishes its service.
In Argentina, Brazil and Chile, when the rail is enabled, Cord acts as the Customer’s own invoicing system: it signs with the credentials the Customer uploads and transmits directly to the authority, on the Customer’s instruction and in its name; the Customer is the party bound before the authority. In Peru and Colombia, Cord does not transmit documents to the authority until it holds the registration or authorization each authority requires of anyone issuing on a taxpayer’s behalf; until then, the document it generates is a commercial one. A document has tax validity only once the authority authorizes it. A submission without a response is queried before issuing again. An authorized document is not edited: it is voided or corrected only through the procedure the authority provides, which in several countries is a credit note only. Each rail covers the documents and transactions its screen indicates and rejects the rest before sending them.
In Chile, if the Customer uses receipt of its suppliers’ documents, Cord automatically sends the receipt acknowledgment and, when the Customer decides, sends the supplier the acceptance or claim signed with the Customer’s certificate and registers it with the SII; that decision cannot be changed afterwards. The Customer must decide within the legal deadline; Cord does not accept or claim on its own.
In France, issuing invoices through a platform approved by the French tax administration is not yet available: Cord does not transmit invoices to any platform or report sales or payments to the French tax administration, and the document it generates for an issuer established in France is a commercial one. The Customer must meet its e-invoicing and reporting obligations by other means, including having its own receiving platform. When Flouvia enables that service, it will announce it with a new version of these Terms under section 17.
In the European Union, Cord can generate invoices in standard electronic formats and, as the Customer chooses, attach them to email; it does not transmit them through any network. If the Customer expressly authorizes it on the Platform, through a versioned text stating what Cord signs, with which certificate (holder and serial number) and for what purpose, Cord signs its Facturae with the Customer’s certificate and on its behalf. The Customer may revoke that authorization at any time. It also ends when the certificate is replaced or deleted or the Customer is no longer established in Spain, and signing stops if the text, the legal name or the NIF changes until the Customer accepts it again.
In the United States, if the Customer enables sales tax calculation by its customer’s address, each line’s tax comes from a calculation made in the Customer’s payment account using the states where the Customer declares it collects. The Customer is the party registered with, collecting for and filing with each state; Cord does not handle registrations or file returns, and does not determine where a collection obligation exists. If data is missing or the calculation is unavailable, the document is not saved rather than using an estimated rate. Sales recorded with this calculation use a separate monthly allowance of the plan; beyond the allowance they are charged as overage at the published price or, while that overage is not enabled, the operation is rejected.
Tax credentials. By uploading a certificate, key, folio file or access password for its authority, the Customer represents that they belong to it or that the person uploading them is authorized to use them on its behalf, and authorizes Cord to use them only to sign and transmit that organization’s documents, check their status and, in Chile, answer its suppliers. Cord stores them encrypted and never returns them to the browser. The Customer must revoke them with its authority if they are compromised and may delete them in Cord, except a folio file with used folios or, in Spain, the certificate while records remain to be sent or belong to the current fiscal year.
Retention. The Customer must keep its invoices, XML and acknowledgments for the period its tax law requires. Cord keeps them while the organization exists, and the Customer can download all of them in a single file from Settings. When the Customer requests deletion of the organization, Cord schedules it with a 30-day grace period, during which the Customer can download its documents and cancel the deletion; after that they are erased, except Verifactu records, which prevent deletion.
09 Confidentiality
Both parties ("Receiving Party" and "Disclosing Party") may have access to confidential technical, financial, or business information. The Receiving Party commits to protecting the Disclosing Party's Confidential Information using the same degree of care it uses to protect its own, and in no event less than a reasonable degree. Flouvia may share the Customer’s Confidential Information with its sub-processors only to the extent necessary to provide CORD and under confidentiality obligations equivalent to those in this section; for example, the catalog and prices sent as context to its artificial intelligence provider when the Customer uses that feature. This confidentiality obligation shall survive the termination of your CORD subscription.
Activity on public proposal links: when you send a proposal through a CORD link, the platform records activity on that link so you can follow up: when it was opened, how many times and by how many distinct devices, which sections the recipient reviewed and for how long, and whether they are viewing it at that moment. This data is visible to you as the sender, is scoped to that proposal, and is never shared with other businesses. The link itself tells the recipient that their activity is visible. If the recipient opens the link from the European Economic Area, the United Kingdom, or a territory with equivalent rules, from the province of Quebec in Canada, or without an identifiable country or, in Canada, an identifiable province, the platform does not measure their activity from the browser and only records, from the server, when they first opened it. The platform does not store the IP addresses of this activity; the exception is the record of a digital signature, where the address is preserved in full as evidence of the signature.
10 Indemnification
The Customer agrees to defend, indemnify, and hold harmless Flouvia, its directors, employees, and technology providers from any claim, demand, fine, or damage (including reasonable legal fees) arising from the misuse of the Platform, the violation of these Terms, or the documents the Customer issues or has transmitted through CORD in any country and rail where they result from false, incomplete, or unauthorized data, rates, certificates, credentials, or instructions the Customer provided, or from its failure to meet its own tax obligations. This includes CFDI in Mexico; Verifactu records and business-to-business e-invoicing in Spain; documents before ARCA, the Brazilian authorities, the SII, the DIAN, or SUNAT; European e-invoices; sales tax calculations in the United States; and commercial documents.
11 SLA, Availability and Force Majeure
Flouvia provides the service on a best-effort basis and does not currently offer a standard uptime commitment. Availability also depends on third-party payment, database, hosting, and tax-authority services. Any individually agreed service level must be set out in a separate written agreement.
Force Majeure: Flouvia shall not be liable for failure or delay in performing its obligations caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of terrorism, strikes, massive failures of internet providers, or government actions.
12 Limitation of Liability
To the maximum extent permitted by applicable law, Flouvia’s total and cumulative liability to the Customer for any damage, loss or cause of action related to the use of CORD is limited to the greater of: the amount the Customer paid Flouvia for the service during the twelve (12) months before the event giving rise to the claim, or twenty thousand Mexican pesos (MXN 20,000) or its equivalent in the currency of its subscription.
Where the damage arises from a security incident attributable to Flouvia that affects the Customer’s data, Flouvia’s total, aggregate liability to the Customer for all security incidents occurring in any twelve (12) month period is limited to the greater of: three (3) times the amount the Customer paid Flouvia for the service in the twelve (12) months before the first of those incidents, or one hundred thousand Mexican pesos (MXN 100,000) or its equivalent in the currency of its subscription. This limit is not multiplied by the number of incidents, records, or affected individuals.
This limit applies to every claim related to invoicing, in any country and rail. Flouvia is not liable for fines, surcharges, or penalties an authority imposes because of the Customer’s data, rates, deadlines, or decisions, nor for the unavailability or decisions of tax authorities, certification providers, or approved platforms. It is liable, within this limit, for failures of CORD attributable to it, such as a document built incorrectly from correct data.
No limit in this section applies to liability for Flouvia’s willful misconduct or bad faith, or to liability that applicable law does not allow to be limited.
13 Public API Terms
The use of the CORD API and outgoing Webhooks is restricted to your plan limits. The Client agrees to protect their API keys (sk_live_...). Flouvia is not responsible for data extraction or the issuance of fraudulent invoices resulting from the leak of your credentials, unless the leak is attributable to Flouvia.
14 Brand Usage (Publicity)
Flouvia will use the Customer’s name, logo or trademarks to identify it as a CORD customer, on its website or in commercial materials, only with the Customer’s prior written permission. The Customer may withdraw that permission at any time, and Flouvia will stop using them in new materials.
15 Payments, Disputes and Refunds
Cord fees and processor charges are separate items: absence of an enabled platform fee for a currency or method does not make processing free. General acceptance of these terms does not replace an authorized organization member’s specific acceptance of the fee schedule.
Cord Payments transaction fees
Cord Payments fees, refunds to buyers, chargebacks, dispute fees and negative balances are governed by the Payment Terms. Funds are charged on the Customer’s connected payment account and are never held by Flouvia.
CORD subscription
All charges are securely processed by Stripe. Subscriptions renew automatically. The Client can cancel at any time from the Billing Portal. Upon cancellation, the service will remain active until the end of the already paid period. Flouvia does not issue full or partial refunds for unused months or overage consumption, except when the Customer terminates the agreement after objecting to a new sub-processor under the Data Processing Agreement, in which case Flouvia refunds the unused prepaid portion.
16 Applicable Law and Jurisdiction
This Agreement is governed by and construed in accordance with the current laws of the United Mexican States, without giving effect to its conflict of law principles. For any controversy, dispute, or claim arising from or related to these Terms or the use of the Platform, the parties expressly submit to the exclusive jurisdiction of the competent Federal or Local Courts of Mexico City, waiving any other jurisdiction that may correspond to them due to their present or future domiciles.
17 Modifications to the Terms
Each publication has a version, language and hash of the displayed artifact. Where a change requires renewed acceptance or acknowledgement, Cord will present the relevant version through the acceptance flow and record an affirmative action. Continued use does not replace that action. Personal acceptance of these Terms does not replace required organization or payment approvals.
Assignment
Flouvia may assign this agreement, and the rights and obligations arising from it, to a company that it controls, incorporates or that acquires the business, by giving the Customer at least 15 days’ notice. The notice will state that company’s name, address and tax details. The Customer consents to that assignment now. The assignment does not change the terms of the service and is communicated by notice, without requiring new acceptance.
